Nautis vs Papermark: how much data room does your round need?

Papermark is built for data rooms, with NDA gates, watermarks and Q&A. Nautis includes simpler rooms in a wider workspace. Here is which diligence needs what.

Summarise

Papermark is open source and sells itself as the secure data room for dealmakers, used for fundraising, mergers, real estate and fund reporting. Nautis includes data rooms because a fundraising startup needs somewhere to put its documents, and it treats them as a supporting feature rather than the product.

So ask how much scrutiny your documents will face. A six-person seed round with friendly investors and a large contested process have very different needs. Facts about Papermark come from its homepage, pricing page and data room page, read in October 2026. Nautis details come from its Data Rooms guide.

What investors will actually do in your room

Most early investors open a link, skim the deck, the financial model, the cap table and the incorporation papers, and ask questions by email. Our investor diligence guide lists what they usually ask for. For that pattern, a passcode, an expiry date and knowing who opened which file will cover most of what you need.

Later processes change the requirements. Different investors may need to see different documents. Counsel may require an NDA before anyone sees a page, and someone will want a record of every question and answer. Personal data in employment files needs removing before it's shared. Those are the moments a dedicated tool earns its fee, and they are where Papermark puts its effort.

That is a one-sided table, and it should be. Papermark's whole product is this list, whereas the Nautis data room is one module. If your investors or buyers will ask about security attestations, note the second-to-last row: Nautis can't claim any certification, and a tool that can may save you a difficult conversation.

What Papermark costs next to a Nautis plan

Papermark prices in euros or dollars and charges no per-viewer fee on any plan. Its default view shows annual billing, with savings of up to 35%. Each price is per month for the plan, which includes the team seats shown, and extra seats cost more.

Papermark prices per month, as on its pricing page and in that page's pricing script, October 2026. Seat prices are for annual billing. Nautis in USD, billed monthly.

Its data room page also lists Data Rooms Premium with 10 seats and Data Rooms Unlimited with unlimited seats, sold through sales. The pricing script shows Premium at €549 a month on annual billing, but we couldn't confirm that from a price shown on the page. On price alone, Papermark Data Rooms at $119 a month on annual billing sits a little above Nautis Voyage at about $83 on yearly billing, though one buys a data room product and the other buys a thinner room plus a company workspace. For a founder who only wants the room, Papermark's price is the better deal.

Two diligence scenarios

  1. A $1.5M seed with four interested angels and one small fund. Each investor gets a passcode link to a folder with the deck, the model and the cap table. You see who opened what, and revoke access when the round closes. Liftoff can create the room from your uploaded deck, and Investor Readiness checks it against the documents investors expect at your stage, matched by file or folder name. Nautis is enough here, assuming you already use the workspace.
  2. A $12M Series A with three term sheets in play. Each firm should see a slightly different set of documents, counsel wants an NDA gate, an associate has 60 questions, and the employee list needs names blacked out. Viewer groups, plus the Q&A module and redaction on Data Rooms Plus, exist for this. Doing it through folders, email threads and a separate signing tool would be possible but slow, and easy to get wrong. Use Papermark or a similar tool, and don't let a bundled feature make this decision for you.
  3. A tender offer or a sale of the company. Papermark's pages describe mergers and transaction work directly. Nautis isn't designed for it, and our page on handling an M&A inquiry covers that process.

The open-source point

Papermark's code is public and it offers self-hosting with your own S3-compatible storage bucket. Few companies at seed need this, and running it yourself is real engineering work. It matters most for technical teams with strict rules on where data lives, or those who simply want to avoid being locked in. Papermark also lists data centers in the EU, the US and the UAE, is hosted in Europe by default, and describes region selection under its enterprise plan. Nautis is sold as a hosted product, and its guides don't cover a self-hosted version. It's worth asking about data residency before you upload anything sensitive to any tool.

Why a founder might still use the Nautis room

A data room in Nautis is connected. Raise HQ links your deck and room to the round under Materials, and the Who's reading card shows the last seven days of activity next to the deal pipeline. You can see that a partner reopened the financials this morning, right beside the follow-up that Beacon has drafted. A Papermark link can't sit in that view, so you would be checking two places.

Rooms come with every plan, and you pay nothing extra for them. Share links work for people with no Nautis account, and access can be revoked at once. For a company already keeping its files, contracts and fundraising CRM there, one less subscription is a fair trade until diligence gets serious. Remember the wider limits, too. July 2026 was its public launch, and its value depends on the workspace being in regular use.

Papermark, Nautis or both

  • Papermark alone suits anyone who just needs a serious room, especially if you already have tools for everything else. It's also a good call for funds and advisers, which Nautis's published plans don't target.
  • Nautis alone suits seed-stage teams who want documents, deals and runway together and whose investors aren't asking for NDA gates or Q&A.
  • Both is a reasonable path. Start in Nautis for early conversations, then copy the organised folders into Papermark when a lead investor starts formal diligence. That move is a one-time job and costs little.
  • Neither, at first. If you have three documents and two investors, a shared drive with care taken over permissions will do for a week or two.

FAQ

Which has better data rooms in Nautis vs Papermark?

Papermark. Data rooms are its core product, with NDA gates, dynamic watermarks, group permissions, Q&A and redaction. Nautis rooms handle passcodes, expiry, partial sharing, analytics and version history, which suits simpler rounds.

How much does Papermark cost?

As of October 2026, its pricing page shows a €0 plan for document sharing, Pro at €24, Business at €59, Data Rooms at €99 and Data Rooms Plus at €249 a month on annual billing. Billed monthly, those are €29, €79, €149 and €349, and it also prices in dollars. There's a 7-day trial on data room plans.

Is Papermark really open source?

Its site says so and links to its GitHub repository, and it describes self-hosting on your own infrastructure with an S3-compatible bucket under the open-source licence. Support with self-hosting is listed under its enterprise offer.

Do investors need a Nautis account to view a data room?

No. A share link opens in any browser and works without an account. You can choose public or passcode access, set an expiry, allow or block downloads, and revoke the link from the Sharing tab.
